Advertising Agreement

Platform Provider : Microsoft Corporation or its affiliates, providing the Microsoft Ads platform.

2. Purpose

The purpose of this Agreement is to outline the terms and conditions under which Advertiser will create, manage, and run advertising campaigns on Microsoft Ads to promote its legal services related to civil rights advocacy.

3. Advertising Content

3.1 Content Requirements :
All advertisements created by Advertiser must comply with Microsoft Ads policies, including but not limited to:

• Prohibition of misleading, deceptive, or false claims.
• Compliance with all applicable laws and regulations, including those related to privacy, data protection, and consumer protection.
• Avoidance of prohibited content such as hate speech, discrimination, or illegal activities.

3.2 Approval Process :
Advertiser agrees that all ad content must be pre-approved by Microsoft Ads before being published. Advertiser will promptly address any feedback or requests for revisions from Microsoft Ads.

3.3 Branding Guidelines :
Advertiser will ensure that all ads prominently display the name "Lawyers for Civil Rights" and include accurate contact information (address, phone number, email).

4. Payment Terms

4.1 Billing :
Advertiser agrees to pay for advertising services based on the billing model selected in Microsoft Ads (e.g., cost-per-click, cost-per-impression). Payments will be processed through the payment method provided by Advertiser in their Microsoft Ads account.

4.2 Taxes :
Advertiser is responsible for any applicable taxes, including sales tax or VAT, unless otherwise stated.

4.3 Late Payments :
Failure to make timely payments may result in suspension or termination of advertising services.

5. Intellectual Property

5.1 Ownership :
Advertiser retains ownership of all intellectual property rights in the content it creates for advertising purposes. However, by submitting content to Microsoft Ads, Advertiser grants Platform Provider a non-exclusive, royalty-free license to use, display, and distribute the content solely for the purpose of running the advertising campaign.

5.2 Prohibited Use :
Advertiser shall not use any trademarks, logos, or copyrighted materials owned by third parties without proper authorization.

6. Compliance with Laws

6.1 Legal Compliance :
Advertiser agrees to comply with all applicable federal, state, and local laws, including but not limited to:

• The Federal Trade Commission (FTC) guidelines on advertising.
• Anti-discrimination laws.
• Data protection and privacy laws, such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).

6.2 Prohibited Activities :
Advertiser shall not engage in any activity that violates Microsoft Ads policies, including but not limited to:

• Misrepresentation of services.
• Use of prohibited keywords or targeting methods.
• Unauthorized collection of personal data.

7. Termination

7.1 Termination by Advertiser :
Advertiser may terminate this Agreement at any time by ceasing to run ads on Microsoft Ads and closing their account.

7.2 Termination by Platform Provider :
Platform Provider reserves the right to terminate this Agreement immediately if Advertiser violates any terms of this Agreement or Microsoft Ads policies.

7.3 Effect of Termination :
Upon termination, Advertiser will no longer have access to Microsoft Ads, and any unpaid balances will become due immediately.

8. Limitation of Liability

8.1 Disclaimer :
Platform Provider is not liable for any damages arising from the use of Microsoft Ads, including but not limited to lost profits, business interruption, or loss of data.

8.2 Indemnification :
Advertiser agrees to indemnify and hold harmless Platform Provider from any claims, damages, or losses arising from Advertiser's violation of this Agreement or applicable laws.

9. Modifications

Platform Provider reserves the right to modify this Agreement or its policies at any time. Advertiser will be notified of any changes via email or through the Microsoft Ads platform. Continued use of Microsoft Ads constitutes acceptance of the modified terms.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles.
